Welcome to QRtracts LLC (“we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our software, website, mobile applications, design studio, marketplace, and any associated services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1.0 Use of Service
You must be at least 18 years old or have legal capacity in your jurisdiction to use the Service. You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You are responsible for all activity under your account, and you agree not to use the Service to upload or share harmful, misleading, spammy, defamatory, or unlawful content.
2.0 Account Registration
To access certain features you may need to register for an account. You agree to provide accurate, complete, and current information and to keep it up to date. QRtracts LLC reserves the right to suspend or terminate your account if any information is false, misleading, or violates these Terms.
3.0 Account Security & Credentials
You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to share your login details or allow unauthorized access. QRtracts LLC is not liable for any loss, misuse, unauthorized access, or damage resulting from your failure to secure your credentials or device, including hacking, phishing, or the use of weak or reused passwords. Notify us immediately if you suspect unauthorized use of your account.
4.0 Software License & Use Restrictions
Subject to your compliance with these Terms, QRtracts LLC grants you a limited, non-exclusive, non-transferable license to use the Service for your own ministry, business, or personal purposes. You may not: (a) resell, sublicense, or distribute the Service without written consent; (b) reverse engineer, decompile, or attempt to extract the source code; (c) use the Service to create a competing product; or (d) circumvent any limitations or access controls.
5.0 Account Licensing (Ministry & Personal)
For ministry and organizational accounts, the QRtracts license is tied to the ministry or organization under which it was originally created or purchased. If a pastor, staff member, or representative moves to a different ministry, the license does not transfer; a separate account is required for each distinct entity. Ownership of the account remains with the entity that created it.
Personal and free-tier accounts are licensed to the individual who created them and are likewise non-transferable. Each individual or entity maintains independent access to and management of its own QRtracts portal.
6.0 Intellectual Property
All content, branding, software, and technology associated with the Service are the exclusive property of QRtracts LLC or its licensors. Use of the Service does not grant you ownership of any intellectual property rights. You may not reproduce, modify, distribute, or create derivative works based on our content or software without express written permission, except as expressly permitted by these Terms or your subscription plan.
7.0 Printing, Cards & QR Codes
Card designs, templates, and materials provided through the Service are copyrighted and remain the intellectual property of QRtracts LLC. Except where expressly granted by your subscription plan, you may not generate QR codes tied to your portal, nor print or reproduce tract cards, stickers, or other materials featuring your portal URL, without prior written approval from QRtracts LLC.
Where your plan grants printing or QR-export rights (for example, the Premium tier’s third-party printing license, design-file downloads, and QR-code export), those granted rights govern and supersede the restrictions in this section for the duration of an active, paid subscription. If your plan or subscription lapses, the restrictions in the first paragraph of this section apply again. To request permission for special printing needs outside your plan, contact support@qrtracts.com; approval is required before such materials are printed. Unauthorized printing, QR generation, or distribution may result in suspension or termination of your access.
8.0 QRtracts Marketplace
The Service includes a public marketplace where users may publish their own tracts for others to discover and use, and may import tracts published by other users.
8.1 Publishing — License You Grant
When you publish a tract to the marketplace, you grant QRtracts LLC and other users of the Service a worldwide, non-exclusive, royalty-free, sublicensable license to display, host, reproduce, distribute, adapt, and use that tract within the Service — including allowing other users to import, customize, and re-publish it under their own portals. You may unpublish your tract at any time; doing so removes it from future discovery, but does not revoke copies already imported by other users prior to removal.
8.2 Importing — Your Rights & Risks
Tracts you import from the marketplace are made available for use within the Service subject to these Terms. You may use and customize imported tracts for your own outreach. QRtracts LLC does not independently verify the doctrinal accuracy, theological soundness, factual accuracy, or originality of every marketplace submission, and provides imported content “as is” without warranty. You are responsible for reviewing imported content before publishing or distributing it under your portal.
8.3 Content Standards
All marketplace submissions must comply with the Doctrinal Agreement and these Terms, and must not infringe any third party’s rights. You represent that you own or have all necessary rights to any tract you publish.
8.4 Moderation & Removal
QRtracts LLC reserves the right, in its sole discretion and without notice, to review, reject, remove, or restrict any marketplace content that it deems inappropriate, doctrinally inconsistent, infringing, unlawful, or otherwise non-compliant with these Terms.
9.0 User Content & Designs
You retain ownership of content you create, submit, upload, or display through the Service (including tracts built in the Design Studio). By using the Service, you grant QRtracts LLC a worldwide, non-exclusive, royalty-free license to use, host, display, reproduce, and distribute such content as necessary to provide the Service.
9.1 Ownership & Permissions
You affirm and warrant that you are the sole owner of, or have obtained all necessary rights, licenses, and permissions for, any design, artwork, image, or other content you submit, and that it does not infringe the intellectual property, privacy, or other rights of any third party.
9.2 Indemnification & Liability
You agree to fully indemnify, defend, and hold harmless QRtracts LLC, its affiliates, officers, employees, and agents from any claims, liabilities, losses, damages, or expenses (including reasonable attorney fees) arising out of or related to your content, including any alleged or actual infringement or unauthorized use of copyrighted or trademarked material.
9.3 Content Review & Right of Refusal
QRtracts LLC may, in its sole discretion, reject or remove any content it deems inappropriate, offensive, legally questionable, or non-compliant. QRtracts LLC is not obligated to review, edit, or verify the legality or accuracy of any submitted content; you assume full responsibility for ensuring your submissions comply with applicable law.
10.0 Automatic Translation
The Service may automatically translate tract content into other languages using third-party machine-translation technology. Machine translations may contain inaccuracies, omissions, or errors. QRtracts LLC does not warrant the accuracy of any translated content and is not responsible for errors in machine-translated material. You are encouraged to verify critical or doctrinal content in each target language.
11.0 Third-Party Integrations
The Service may integrate with or rely on third-party services, platforms, plugins, and APIs (e.g., analytics, payment processing, printing, QR-code generation, translation, or communication tools). These are not owned or operated by QRtracts LLC, and your use of them is subject to their own terms and policies.
11.1 No Control or Endorsement
We do not control and are not responsible for the availability, accuracy, or performance of third-party services. Inclusion of an integration does not imply endorsement or guarantee.
11.2 Use at Your Own Risk
Your use of any third-party integration is at your sole risk. QRtracts LLC is not liable for any damages, data loss, outages, or legal issues arising from your use of or reliance on third-party services, nor for their discontinuation or changes to their terms.
11.3 Data Sharing
Certain features may require us to share limited data with third-party services on your behalf (e.g., to generate a QR code, translate content, or process a payment). By using those features, you authorize us to transmit the necessary data under our Privacy Policy.
12.0 Public Display of Information
Some features allow you or your organization to publicly display personal information (e.g., names, phone numbers, email addresses, physical addresses). By choosing to display such information through the Service, you accept that it will be visible to others and that QRtracts LLC is not responsible for any risks, damages, or misuse resulting from that public disclosure. Consider carefully what you share publicly.
13.0 Payment, Billing & Subscriptions
QRtracts LLC offers both one-time purchases and subscription-based services. By purchasing or subscribing, you agree to the following:
13.1 One-Time Purchases
Certain products (e.g., printed materials) may be available for a one-time fee, due in full at purchase. All sales are final unless otherwise specified in writing. Prices exclude applicable taxes, shipping, or handling, calculated at checkout.
13.2 Subscriptions
Subscription services (e.g., analytics, premium features, printed-material refills) are billed on a recurring basis (monthly or annually) and renew automatically unless canceled before the next billing cycle. You authorize QRtracts LLC to charge your payment method on a recurring basis for the applicable fees, including taxes.
13.3 Free Trials
We may offer free trials. If not canceled before the trial ends, your subscription automatically converts to a paid plan and your payment method is charged.
13.4 Changes to Pricing or Features
We reserve the right to modify pricing or included features at any time, with advance notice. Continued use after changes take effect constitutes acceptance.
13.5 Cancellation
You may cancel at any time via your dashboard. Cancellation takes effect at the end of the current billing period; no refunds are provided for unused time. We may suspend or terminate access for non-payment or violation of these Terms.
13.6 Failed Payments
If a payment fails, we may retry it or suspend access until resolved. After repeated failures we may terminate the service.
13.7 Refund Policy
All payments are final and non-refundable, including one-time purchases and subscriptions, unless required by law — this includes partial use of a subscription period, unused print credits, and accidental or duplicate purchases. Exceptions are at our sole discretion and must be requested in writing.
14.0 Availability & Modifications
We strive to keep the Service operational but do not guarantee uninterrupted access. We may modify, update, suspend, or discontinue any part of the Service at any time without notice, and are not liable for any loss caused by such changes or interruptions.
15.0 Disclaimer of Warranties
The Service is provided “as is” and “as available.” QRtracts LLC makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Service will be secure, error-free, or meet your expectations.
16.0 Limitation of Liability
To the fullest extent permitted by law, QRtracts LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the preceding 12 months.
17.0 Indemnification
You agree to indemnify, defend, and hold harmless QRtracts LLC and its affiliates, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or any content you submit or share.
18.0 Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any legal action shall be filed in a court located in Cherokee County, Georgia.
19.0 Changes to Terms
We may update these Terms at any time. If we do, we will revise the Effective Date above and may notify you via email or on the Service. Continued use after changes constitutes acceptance of the updated Terms.
20.0 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you agree to the practices described there.
